Effective date: August 23, 2022

This Electronic Communications Agreement and Consent (“Disclosure”) applies to all communications related to the demand deposit account (“Instawork Debit Account”) and accompanying services available through the Instawork Platform via the Instawork website (“Website”) and/or mobile application (“Mobile App”). This Disclosure supplements and should be construed along with the terms contained in the deposit account agreement (“Deposit Account Agreement”) you agreed to when you created the Instawork Debit Account.

“We,” “us,” or “our” refers to Garuda Labs, Inc. dba Instawork, a Delaware corporation, its parents, subsidiaries, representatives, affiliates, officers, and directors (collectively, “Instawork”). “You” and “your” means the business entity identified on the Instawork Debit Account(s). "Communications" means disclosures, notices, agreements, fee schedules, privacy policies, statements, transaction histories, records, documents, and all other information provided in connection with the Instawork Debit Account(s) or that you sign and submit or agree to at our request, including but not limited to information that we are required by law to provide you in writing.

The Instawork Debit Account is intended for use only by account holders who are willing and able to receive Communications exclusively through the Website, the Mobile App, text or SMS messages (“Text Messages”) or by email. By accepting this agreement, you agree that you are willing and able to receive Communications in electronic form, and consent to receive Communications in electronic form. If you do not agree to receive Communications in electronic and not paper form, you may not open an Instawork Debit Account. If you withdraw your consent to electronic Communications at any point after providing consent hereunder, your Instawork Debit Account will be closed.

1. Delivery Methods

Communications provided to you electronically will be provided either through (1) the Instawork Mobile App; (2) the Website; (3) Text Messages; or (4) email. If we do not deliver Communications to you through the above manners, we will tell you where you can go to receive such Communications.

We may be required by law to deliver certain Communications to you on paper even though you have consented to receive it electronically.

2. Hardware and Software Requirements

To access, view, and retain electronic Communications that we make available to you, you will need:

  • Access to a device (e.g., a computer, smartphone, mobile device, tablet, etc.) suitable for connecting to the Internet or downloading our Mobile App with the current version of an operating system, such as Windows, MacOS, IoS, or Android, and/or (ii) a web browser, such as Chrome, Safari, or Firefox, that we support.
  • A connection to the Internet;
  • A current version of the Instawork Mobile App;
  • A valid, active email address; and
  • Software that enables you to view and display files in HTML and PDF format.

We may update these requirements periodically as needed to preserve your ability to receive electronic Communications. We will notify you if there is a substantial change in these requirements.

3. Updating Contact Information

It is your responsibility to provide us with an accurate and current email address, contact, and other information related to this Disclosure and your Instawork Debit Account, and to maintain and promptly update any changes to this information, so that we may send you electronic Communications. You can update your email address and other contact information through in-app support on the Mobile App. We are not responsible for any delay in your receiving the Communications if we send the Communications to the last email address you provided to us.

4. Requesting Paper Copies

We will not automatically send you a paper copy of any electronic Communication, but we reserve the right to send you a paper copy instead of an electronic copy of any Communication. If we choose to make a paper copy of any Communication available, we do not create any obligation to do so at other times. You may obtain a paper copy of an electronic Communication by printing it or by requesting we mail a paper copy. To request a paper copy, contact us through in-app support on the Mobile App. We reserve the right to charge a fee for any such paper copy.

5. Communications in Writing

All Communications delivered to you in either electronic or paper format will be considered information delivered "in writing."

6. Termination/Changes

We reserve the right, at our sole discretion, to discontinue the provision of electronic Communications to you, or to terminate or change the terms and conditions on which we provide electronic Communications to you. We will provide you with notice of any such termination or change as required by law.

7. Withdrawing Consent

You have the right to withdraw your consent to this Disclosure at any time. Withdrawing consent will terminate your Instawork Debit Account. A balance refund check may be issued to you upon account termination in accordance with this Agreement. You may withdraw consent by contact us through in-app support on the Mobile App.

8. Consent

By checking “I agree,” you give your consent for Instawork to provide electronic Communications to you as described in this Agreement. You further agree that your computer and/or mobile device satisfies the hardware and software requirements described above and that you have provided us with a current email address at which we may send electronic Communications to you.
